These Terms of Service ("Terms") govern your use of the NotariPro service. By creating an account or using NotariPro, you agree to be bound by these Terms.
1. Eligibility
NotariPro is intended exclusively for lawyers in good standing with the Supreme Court of the Philippines and the Integrated Bar of the Philippines, who hold an active notarial commission under the 2004 Notarial Practice Rules and the 2025 Amendments (A.M. No. 02-8-13-SC). You agree to provide accurate information about your Roll of Attorneys Number, Notarial Commission Number, and validity period, and to upload genuine identification documents for our verification team to review.
2. Your responsibility for notarial accuracy
NotariPro is a workflow tool. You — the notary public — remain solely responsible for: the lawful performance of every notarial act; the accuracy of every register entry, principal identifier, document, fee, date, and certification; compliance with the 2004 Notarial Practice Rules, the 2025 Amendments, the Code of Professional Responsibility and Accountability, and all applicable laws; and the secure custody of your notarial seal and credentials.
Our OCR is a convenience that pre-fills forms from PDFs you provide. You must verify every extracted field before logging it to your register. We accept no liability for OCR errors that you fail to catch and correct.
3. Acceptable use
You agree not to: notarize documents that violate Philippine law; impersonate another notary; use NotariPro to backdate or otherwise falsify notarial records; share your credentials with anyone, including office staff (each user must have their own account); upload malicious files; attempt to circumvent our security or row-level access controls; reverse-engineer the service.
Violations may result in immediate account suspension. Serious violations involving falsification of notarial acts will be reported to the Office of the Bar Confidant.
4. Account verification & uniqueness
Each Roll of Attorneys Number may be linked to only one active NotariPro account at a time. Submitting fraudulent verification documents constitutes fraud and may carry disbarment consequences in addition to account termination.
5. Fees, trial, and subscription
NotariPro offers a free beta trial for the first sixty (60) days from account creation. Pricing tiers will be announced before the trial period ends; you will be given at least fourteen (14) days' notice and the choice to upgrade, downgrade to a free tier (if available), or export your data and close your account before paid features take effect. We do not auto-charge accounts during the beta period.
6. Data ownership & portability
You own your data. We hold your notarial register entries, uploaded PDFs, audit log, and profile data on your behalf. You may export everything at any time as a JSON archive (Settings → Privacy & Data). On account closure, your notarial records are retained for the period mandated by the Notarial Practice Rules, then permanently deleted.
7. Service availability
We aim for high availability but make no SLA commitment during the beta period. We will give reasonable advance notice for scheduled maintenance and will work in good faith to resolve any unscheduled outage promptly.
8. Limitation of liability
To the maximum extent permitted by Philippine law, our aggregate liability arising out of or related to your use of NotariPro is limited to the fees you have paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages, including loss of profits or reputational harm. Nothing in these Terms limits liability for fraud or willful misconduct.
9. Indemnity
You agree to indemnify and hold us harmless against any claim arising from: your breach of these Terms; your improper performance of notarial acts; any falsified document, identity, or commission you upload; or third-party claims by your principals or by recipients of your dispatched emails.
10. Termination
You may terminate your account at any time. We may suspend or terminate your account for material breach of these Terms or where required by law. Upon termination, you may export your data within thirty (30) days; thereafter, retention follows the Privacy Notice.
11. Changes to the service or Terms
We may update the service or these Terms. Material changes will be notified to you in-app and by email at least fourteen (14) days before they take effect.
12. Governing law & venue
These Terms are governed by the laws of the Republic of the Philippines. Any dispute arising hereunder shall be brought exclusively before the proper courts of Pasig City, Metro Manila, to the exclusion of all others.
